CORPORATE LEGAL ASSISTANT POSITION AND RESPONSIBILITIES Our client, located in downtown Winnipeg is currently seeking a Corporate Assistant with experience in Corporate law to join their team. The individual will be working collaboratively within the Corporate department. RESPONSIBILITIES WILL INCLUDE: . Drafting documents relating to incorporations, amalgamations, amendments, continuances, extra provincial registrations, and various types of resolutions and minutes. . Respond to daily inquiries from counsel and clients . Assist students, lawyers, other departments, and firm members with various corporate matters Preparing documentation and transactions for corporate matters in the following areas: . Due diligence review of corporate records and preparation of rectification resolutions, . Amendments to articles and authorized share structure . Declaration of dividends/bonuses . Dissolutions - voluntary . Restorations, Name changes . Share transfers/allotments/redemptions/repurchases/transmissions . Limited Partnerships - registrations/amendments/dissolutions . Director appointments/resignations/removals/death . Officer appointments/resignations/removals/death . Drafting resolutions for miscellaneous matters . Extra provincial registrations - MB & other jurisdictions . Registered and Records office changes (incoming or outgoing) . Partnerships/proprietorships - registrations/amendments EDUCATION AND QUALIFICATIONS . 3 - 5 years' experience as Corporate Legal Assistant . Legal administration diploma and/or legal assistant certificate . Excellent multi-tasking with the ability to communicate in a professional manner with clients and lawyers . Ability to problem-solve, escalate problems as they arise, forecast appropriate next steps . Strong organizational and time management skills . Detail-orientated individual with good proofreading skills . Ability to work independently, follow instructions with minimal supervision and take initiative . Able to set own priorities while maintaining flexibility . A team player with excellent interpersonal skills . Availability to work overtime, when necessary . Enjoy a fast paced environment . Proficiency in Microsoft Word, Excel and Outlook is essential .
